STEMEIT is a digital recruitment management platform and licensed employment agency service used by Employers and approved Recruitment Suppliers to manage foreign-worker recruitment. By creating an account, accessing the Platform, or using STEMEIT services, you agree to these Terms and any commercial agreement that applies to your organisation.
1Introduction and acceptance
These Terms & Conditions (“Terms”) govern access to and use of the STEMEIT website, recruitment management platform and related services (together, the “Services”), operated by STEMEIT PVT LTD (“STEMEIT”, “we”, “us” or “our”).
By creating an account, accessing or using the Services, you agree to be bound by these Terms. If you use the Services on behalf of a company or other organisation, you confirm that you are authorised to act for and bind that organisation. In that case, “you” includes both the organisation and its authorised users.
If you do not agree to these Terms, you must not access or use the Services.

3Eligibility and accounts
Employer and Supplier accounts are intended for legally recognised businesses or organisations and their authorised representatives. You must provide accurate account and company information and keep that information reasonably up to date.
You are responsible for maintaining the confidentiality of your login credentials and for activity carried out through your account. You must not share credentials in a manner that allows unauthorised access and must notify STEMEIT promptly if you suspect unauthorised account activity.
STEMEIT may verify company information, authorised representatives, licences, certificates or other credentials before or after granting access. We may refuse, restrict or suspend access where verification is incomplete, information is inaccurate, or we reasonably believe access may create legal, compliance, security or operational risk.
4Description of the Services
STEMEIT provides a digital workspace for managing foreign-worker recruitment. Depending on the features available to your organisation, the Services may allow Employers to create recruitment Requirements, connect with approved Recruitment Suppliers, receive Candidate applications, review documents, request interviews, record decisions, manage recruitment stages and track approved hires through processing, travel, arrival and handover.
STEMEIT is also a licensed employment agency in the Republic of Maldives. Depending on the relevant engagement and Commercial Agreement, STEMEIT may provide recruitment coordination, agency, compliance-support or related services in addition to providing the digital Platform.
Unless expressly agreed otherwise in writing, STEMEIT does not become the employer of a Candidate, does not guarantee employment to a Candidate, and does not guarantee that any Requirement will be filled or completed within a particular period.
Recruitment outcomes may depend on Employers, Recruitment Suppliers, Candidates, airlines, medical providers, insurers, government authorities and other third parties outside STEMEIT's control.
5Employer responsibilities
Employers agree to:
- provide accurate, complete and lawful information when creating or managing a Requirement;
- ensure that job titles, headcount, salary, benefits, working conditions, work locations and other employment terms communicated through STEMEIT are accurate and authorised;
- review Candidate submissions and take required Employer actions within reasonable timeframes;
- use Candidate information only for legitimate recruitment, employment, immigration, compliance or workforce-management purposes;
- protect Candidate information and restrict access to authorised personnel;
- comply with applicable employment, immigration, work permit, anti-discrimination, health and safety and other legal obligations;
- complete Employer-side post-recruitment actions, including medical, insurance, immigration or other processing, where those actions are the Employer's responsibility; and
- not bypass agreed commercial arrangements with STEMEIT for the purpose of avoiding fees or obligations.
6Recruitment Supplier responsibilities
Recruitment Suppliers agree to:
- hold and maintain all licences, approvals and authorisations required for their recruitment activities and relevant sourcing jurisdictions;
- submit only Candidate information that is relevant, accurate to the best of their knowledge and lawfully obtained;
- ensure Candidates are appropriately informed that their information will be shared for recruitment purposes and obtain any consent or authorisation required by applicable law;
- take reasonable steps to verify Candidate identity, experience, qualifications and documents before submission;
- not knowingly submit falsified, altered, fraudulent or misleading documents;
- not charge or collect unlawful recruitment fees or engage in forced labour, human trafficking, deception, coercion or other prohibited recruitment practices;
- respond to Employer and STEMEIT requests relating to active recruitment applications within reasonable timeframes;
- coordinate Supplier-side recruitment, documentation, travel or handover actions assigned to them; and
- not bypass agreed commercial arrangements with STEMEIT for the purpose of avoiding applicable fees.
7Candidate information and applications
Candidates do not need to create a STEMEIT account for their information to be processed through the Platform. Candidate information may be submitted by an authorised Employer or Recruitment Supplier.
A Candidate may have more than one Application or recruitment history in STEMEIT. STEMEIT may use internal identifiers, duplicate-detection controls and application rules to maintain accurate records, prevent conflicting active applications and protect the confidentiality of different Employers and Recruitment Suppliers.
Users must not attempt to access or obtain another organisation's confidential Candidate submissions, recruitment history, commercial information or private communications unless they are authorised to do so.
Personal information is handled in accordance with the STEMEIT Privacy Policy.
8Fees, invoicing and payment
Any fees payable for STEMEIT Services are governed by the applicable Commercial Agreement, supplier arrangement, employer arrangement, order form, invoice or pricing terms communicated by STEMEIT.
Where a Recruitment Supplier is subject to a successful-hire or placement fee, the amount, currency, payment method and charging status may be configured or agreed separately. Unless otherwise agreed in writing, a successful-hire fee may become due when the relevant recruitment process reaches the agreed completion or handover stage.
Where invoices are issued, payment must be made by the due date stated on the invoice or in the applicable Commercial Agreement. Users are responsible for any taxes, bank charges or other amounts that they are legally required to bear in connection with a payment.
Fees already earned or incurred are non-refundable except where STEMEIT agrees otherwise in writing or where a refund is required by applicable law.
STEMEIT may suspend fee-bearing Services or access to relevant features where undisputed overdue amounts remain unpaid after reasonable notice.
9Third-party services and integrations
The Services may integrate with or rely on third-party providers for hosting, communications, accounting, payment processing, document storage, identity tools or other functionality. Third-party services may be governed by their own terms and privacy policies.
STEMEIT is not responsible for outages, errors, delays or acts of third-party providers that are outside our reasonable control, but we will take reasonable steps to maintain and restore affected Services where practicable.
10User Content
You remain responsible for User Content submitted through your organisation's account. You confirm that you have the rights, permissions and authority necessary to submit that content and allow it to be used for the purposes of the Services.
You grant STEMEIT a non-exclusive, worldwide licence to host, store, reproduce, process, transmit and display User Content only to the extent reasonably necessary to operate, secure, support and provide the Services, comply with legal obligations and exercise rights under these Terms.
You must not upload content that is unlawful, fraudulent, malicious, infringing, irrelevant to the recruitment process, or that you are not authorised to disclose.
11Intellectual property
The STEMEIT Platform, software, interface, visual design, workflows, branding, databases, documentation and underlying technology are owned by or licensed to STEMEIT and are protected by applicable intellectual property laws.
Subject to these Terms, STEMEIT grants authorised Users a limited, non-exclusive, non-transferable and revocable right to access and use the Services for legitimate internal business and recruitment purposes.
Except where expressly permitted, you must not copy, modify, distribute, sell, sublicense, reverse engineer, decompile, scrape or commercially exploit any part of the Services.
12Confidentiality
Each User must keep confidential non-public information obtained through the Services, including Candidate information, recruitment records, Employer information, Supplier information, commercial terms, documents, communications and account information.
Confidential information may be disclosed only to authorised personnel or professional advisers who need it for the relevant purpose, to government or regulatory authorities where required, or otherwise where disclosure is permitted by law or authorised by the information owner.
13Prohibited conduct
You must not:
- upload false, fraudulent, altered or intentionally misleading information or documents;
- use the Services for human trafficking, forced labour, unlawful recruitment-fee collection or any other illegal or abusive practice;
- attempt to gain unauthorised access to another User's account, organisation, Candidate records or confidential information;
- interfere with the security, integrity, availability or normal operation of the Services;
- introduce malware or harmful code;
- scrape, harvest or systematically extract Platform data without written authorisation;
- reverse engineer, copy or recreate the Platform or its proprietary workflows except where such restriction is prohibited by law;
- impersonate another person or organisation;
- use the Services to send unlawful, abusive or misleading communications; or
- circumvent or attempt to avoid fees, restrictions, access controls or agreed recruitment arrangements.
14Platform availability and changes
We aim to keep the Services available and reliable, but we do not guarantee uninterrupted or error-free operation. We may carry out maintenance, updates, security changes, feature improvements or other modifications that temporarily affect availability.
We may add, modify, replace or discontinue features where reasonably necessary for security, legal compliance, product development or operational reasons. Where a material change significantly affects a paid Service, we will provide reasonable notice where practicable.
15Suspension and termination
STEMEIT may suspend, restrict or terminate access to the Services where we reasonably believe:
- these Terms or an applicable Commercial Agreement have been materially breached;
- information or documents submitted through the Platform are fraudulent or materially misleading;
- continued access creates legal, licensing, security, fraud, reputational or operational risk;
- a User no longer holds required licences, approvals or authority;
- undisputed fees remain overdue after reasonable notice; or
- suspension or termination is required by law, a court, regulator or competent authority.
Where appropriate, we may provide an opportunity to remedy a breach before termination. Immediate suspension may be used where necessary to protect Candidates, Users, data, the Platform or STEMEIT's legal and regulatory obligations.
Termination does not affect rights, fees or obligations that arose before termination. Provisions relating to confidentiality, intellectual property, payment, liability, indemnity, privacy and dispute resolution survive where their nature requires them to continue.
16Disclaimers
The Services are provided on an “as is” and “as available” basis to the maximum extent permitted by applicable law.
STEMEIT does not guarantee:
- that a Requirement will receive a particular number of Candidates;
- that a Candidate will be suitable, available, approved, granted a work permit or visa, or successfully complete recruitment;
- that information supplied by Employers, Recruitment Suppliers, Candidates or third parties is error-free, even where reasonable verification steps are taken;
- that government, immigration, medical, insurance, airline or other third-party processes will be completed within a particular timeframe; or
- continuous, uninterrupted or error-free access to every Platform feature.
17Limitation of liability
To the maximum extent permitted by applicable law, STEMEIT will not be liable for indirect, incidental, special, exemplary or consequential loss, including loss of profit, revenue, business opportunity, anticipated savings, goodwill or data, arising from or relating to the Services.
STEMEIT is not responsible for losses caused by the acts or omissions of Employers, Recruitment Suppliers, Candidates, government authorities or independent third-party providers where those matters are outside STEMEIT's reasonable control.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
18Indemnity
To the extent permitted by law, you agree to indemnify and hold STEMEIT harmless from third-party claims, losses, liabilities, penalties, damages, costs or reasonable legal expenses arising from your organisation's:
- material breach of these Terms or a Commercial Agreement;
- violation of applicable law;
- fraudulent, unlawful or unauthorised User Content;
- misuse of Candidate or other confidential information; or
- recruitment conduct for which your organisation is legally responsible.
19Force majeure
STEMEIT will not be responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, epidemics, war, civil disturbance, government action, changes in immigration processes, internet or telecommunications failures, third-party infrastructure outages, airline disruption or other events that could not reasonably have been prevented.
20Electronic communications
You agree that STEMEIT may provide operational, account, recruitment, billing, security and legal notices electronically through the Platform, email or other contact information associated with your account.
Records, approvals, acknowledgements or actions made electronically through the Platform may be retained as part of the relevant recruitment or account history.
21Relationship of the parties
Nothing in these Terms creates a partnership, joint venture, employment relationship, fiduciary relationship or agency relationship between a User and STEMEIT except where a specific agency role is expressly agreed in writing.
Recruitment Suppliers remain independent organisations responsible for their own employees, agents, licences, Candidate sourcing activities and legal obligations.
22Order of precedence
If these Terms conflict with a signed Commercial Agreement between STEMEIT and your organisation, the signed Commercial Agreement will prevail to the extent of that conflict. The STEMEIT Privacy Policy governs the handling of personal information.
23Governing law and disputes
These Terms are governed by the laws of the Republic of Maldives.
The parties will first attempt in good faith to resolve any dispute arising from these Terms or the Services through direct discussion. If the dispute cannot be resolved, it will be subject to the jurisdiction of the courts of the Republic of Maldives, unless a separate signed agreement provides another lawful dispute-resolution mechanism.
24General provisions
Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in effect to the extent permitted by law.
No waiver. A failure or delay by STEMEIT to enforce a right does not waive that right.
Assignment. You may not transfer your rights or obligations under these Terms without STEMEIT's prior written consent. STEMEIT may assign its rights and obligations as part of a lawful corporate reorganisation, merger, acquisition or transfer of the relevant business or Services.
Entire agreement. These Terms, the Privacy Policy and any applicable Commercial Agreement form the agreement governing your use of the Services in relation to their respective subject matter.
25Changes to these Terms
We may update these Terms to reflect changes to the Services, business model, security requirements, legal obligations or operational practices. Where a change is material, we may provide notice through the Platform, website, email or another appropriate channel.
Continued use of the Services after updated Terms take effect constitutes acceptance of the revised Terms, except where applicable law or a signed Commercial Agreement requires another form of consent.
